These Terms and Conditions ("Terms") govern your access to and use of the website and services of VOCALXLABS LLC ("Vocalxlabs," "we," "us," or "our"). By using our website or engaging our services, you agree to these Terms. If you do not agree, do not use our website or services.

1. Our Services

Vocalxlabs builds and operates done-for-you AI acquisition systems for real estate wholesalers and investors, including AI cold SMS outreach, lead qualification, follow-up, appointment setting, and related CRM setup. The specific scope of any engagement is defined during your onboarding and any written agreement or order.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use our services. You represent that the information you provide is accurate and that you are authorized to act on behalf of any business you represent.

3. The Free Pilot, Fees, and Costs

• Engagements may begin with a free pilot period during which our labor is provided at no charge.
• During the pilot, you are responsible for third-party data costs (such as skip tracing and message sending). These are disclosed before any messages are sent.
• Setup fees, ongoing management fees, and final scope are confirmed with you before you are charged. Ongoing management, where offered, is optional and month to month unless otherwise agreed in writing.
• All fees are exclusive of your own third-party usage costs (for example, messaging, data, and voice provider charges), which remain your responsibility.

4. Client Responsibilities and Acceptable Use

• You are responsible for the lawful use of any lists, data, and outreach conducted through systems we build or operate for you, including compliance with the Telephone Consumer Protection Act (TCPA), applicable state messaging laws, and carrier requirements.
• You will provide accurate information and required approvals (for example, script and campaign approvals) in a timely manner.
• You will not use our services for unlawful, deceptive, or abusive purposes.

5. Messaging and Compliance

We support A2P (application-to-person) registration, opt-out handling, and lawful sending windows as part of our service. Recipients may reply STOP to opt out and HELP for help. You acknowledge that messaging compliance is a shared responsibility and that you remain responsible for your own campaigns, consent practices, and the content you approve.

6. No Guarantee of Results

Any figures, ranges, or examples referenced on our website or in discussions (including cost-per-contract figures) reflect past or illustrative results and are not a promise or guarantee of future performance. Results depend on your market, data, offers, responsiveness, and execution, and will vary.

7. Intellectual Property

Our website content, branding, and materials are owned by Vocalxlabs or our licensors and are protected by applicable laws. Except as expressly agreed in writing, nothing in these Terms grants you rights to our trademarks or proprietary materials.

8. Third-Party Services

Our services may rely on third-party providers (for example, messaging, AI, CRM, and scheduling platforms). Your use of those services may be subject to their own terms, and we are not responsible for their acts, omissions, availability, or pricing.

9. Disclaimers

Our website and services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

10. Limitation of Liability

To the fullest extent permitted by law, Vocalxlabs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from or related to your use of our website or services. Our total liability for any claim will not exceed the amounts you paid to us for the services giving rise to the claim in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Vocalxlabs and its members and personnel from any claims, damages, and expenses arising from your use of the services, your data and lists, your outreach, or your breach of these Terms or applicable law.

12. Termination

You may stop using our services at any time. We may suspend or terminate access if you breach these Terms or use the services unlawfully. Provisions that by their nature should survive termination will survive.

13. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules. Disputes will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, unless otherwise required by law.

14. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date reflects the latest revision. Continued use of our website or services after changes means you accept the updated Terms.
